Terms of Service

1. Overview

These Terms of Service ("Terms") govern your access to and use of the Kyur client portal, deployment services, and any associated AI integration work (collectively, the "Services"), provided by SiteCraft Digital Ltd trading as Kyur ("we", "us", "our"). By creating an account, submitting an intake form, or otherwise using the Services, you agree to be bound by these Terms.

2. Eligibility & Account Registration

You must be at least 18 years old and have the authority to bind your organisation. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we suspect are being used fraudulently.

3. Scope of Services

Kyur provides AI integration, automation infrastructure, and related technical consulting. The exact deliverables, timelines, and service boundaries are defined in the individual project agreement or statement of work executed between you and Kyur. Nothing in these Terms creates an obligation to provide services beyond what is expressly agreed in writing.

4. Payments & Billing

Fees for Services are set out in your project agreement. Unless otherwise stated, all fees are exclusive of applicable taxes. For recurring retainer arrangements, billing occurs automatically via our authorised Merchant of Record (Paddle). You authorise us (and Paddle, as our billing agent) to charge your chosen payment method for all agreed fees. Failure to pay may result in suspension of Services.

5. Intellectual Property

Upon full and final payment of all fees, any bespoke code, configurations, or deliverables created specifically for your project are transferred to you. Kyur retains ownership of all pre-existing IP, proprietary frameworks, tools, and methodologies. We grant you a perpetual, non-exclusive licence to use any such pre-existing IP solely as embedded within the delivered work product.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of these Terms for a period of three (3) years. We will not share your data with third parties except as necessary to perform the Services or as required by law.

7. Limitation of Liability

To the maximum extent permitted by law, Kyur's total liability arising out of or in connection with the Services - whether in contract, tort, or otherwise - shall not exceed the total amount paid by you to Kyur in the twelve (12) months immediately preceding the event giving rise to liability. We shall not be liable for any indirect, incidental, consequential, or punitive damages.

8. Termination

Either party may terminate the Services by providing written notice. For project-based work, termination fees may apply as outlined in your project agreement. For retainer arrangements, you may cancel at any time via your account settings or by contacting us; cancellation takes effect at the end of the current billing period. No refunds are due for partial periods except at our sole discretion.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or through the client portal. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
